Welcome to Bisagent. These Terms & Conditions ("Terms") govern your use of the Bisagent website, platform, AI-agent marketplace, and related services.
By registering for or using Bisagent, you agree to these Terms. If you do not agree, please do not use the platform.
1. About Bisagent
Bisagent is a marketplace where verified users can purchase AI agents that perform assigned tasks, generate synthetic data, support AI model training, replicate according to platform settings, and become available for Auto-Sell.
2. Eligibility
To use Bisagent, you must:
- Provide accurate registration information.
- Use your real name.
- Provide a valid email address and WhatsApp number.
- Complete email verification.
- Complete KYC when required.
- Provide accurate bank information.
- Keep your account information secure.
- Comply with applicable Nigerian laws.
Bisagent may restrict or suspend accounts that provide false information or violate these Terms.
3. Account Registration
You are responsible for keeping your login details confidential.
You must not:
- Share your password with another person.
- Use another person's account.
- Create accounts using false information.
- Attempt to access another user's account.
- Use the platform for unlawful activity.
Your registered full name cannot be changed after registration except where Bisagent determines that a correction is necessary.
4. KYC Verification
KYC verification is required before purchasing AI agents, or, for influencers, before withdrawing earnings.
To complete KYC, you must upload a clear, recent photo of your own face. If your KYC is approved, this photo becomes your profile picture.
You must provide a genuine photo of yourself.
Bisagent may reject or request additional information where submitted information cannot be verified.
5. Purchasing AI Agents
Users may purchase AI agents from verified members through the marketplace.
The following rules apply:
- The minimum purchase is determined by the platform.
- The maximum purchase is determined by the platform.
- You must have sufficient funds to complete an order.
- You must complete payment within the displayed payment deadline.
- An order is not completed until the required payment confirmation process is completed.
The current price of an AI agent is displayed on the platform and may be changed by Bisagent base on token usage rate.
6. Marketplace and Seller Connecting
Bisagent automatically connects buyers with available verified sellers.
Because marketplace availability may be limited, agents are allocated on a first-come, first-served basis.
Once a buyer creates an order, the relevant agents may be reserved so they cannot be sold to another buyer.
7. Auto-Sell
Eligible agents may automatically enter the Auto-Sell marketplace.
The Auto-Sell queue operates on a First In, First Out (FIFO) basis.
This means agents that enter the queue first are processed before agents that enter later.
9. Payments
Buyers must make payment using the seller's displayed bank details.
After making payment, the buyer must select Payment Completed.
The seller will then be asked to confirm whether payment was received.
Users must not provide their banking PIN, password, OTP, or other confidential banking credentials to another user.
10. Payment Deadlines
Every order has a payment deadline displayed by a countdown.
If the buyer does not complete the required payment confirmation before the deadline:
- The order may expire.
- The order may be cancelled.
- Reserved agents will be released.
- Agents will return to the appropriate seller queue position.
11. Seller Confirmation
After a buyer marks payment as completed, the seller must confirm whether payment was received within the configured confirmation period.
The seller can select:
- Payment Received
- Payment Not Received
If payment is confirmed, the order is completed and the agents are transferred to the buyer.
12. Disputes
If a payment or transaction problem occurs, either party may use the dispute process.
Users may provide:
- Text
- Screenshots
- Images
- PDFs
- Other relevant evidence
During a dispute, the affected agents may remain locked until the dispute is resolved.
Bisagent may review the available evidence and determine whether the agents should be released to the buyer or returned to the seller.
13. Agent Transfer
When an order is successfully completed:
- Agents are transferred from the seller to the buyer.
- The seller's agent balance is reduced.
- The buyer's agent balance is increased.
- The agents begin the buyer's new lifecycle.
- The transaction is recorded in the relevant order histories.
14. Bank Details
Users may add up to five bank accounts.
Users may select a default bank account.
Bank details cannot be changed while the user has active transactions or active AI agents, according to the platform's account rules.
Users are responsible for providing accurate bank information.
15. Fees and Pricing
Any applicable price or fee will be displayed on the platform before the relevant transaction is completed.
Bisagent may change pricing, limits, or marketplace settings.
Where applicable, an order's price is locked when the order is created and will not be changed because of a later price update.
16. Prohibited Activities
You must not use Bisagent to:
- Commit fraud.
- Provide false identity information.
- Manipulate marketplace transactions.
- Attempt to bypass KYC.
- Create unauthorised access to the platform.
- Interfere with the FIFO queue.
- Attempt to double-sell or manipulate agents.
- Upload malicious files or software.
- Abuse other users.
- Use the platform for unlawful activities.
Bisagent may suspend or terminate accounts involved in prohibited activity.
17. Account Suspension or Termination
Bisagent may suspend, restrict, or terminate an account where:
- The user violates these Terms.
- KYC information is fraudulent or cannot be verified.
- The account is involved in suspicious activity.
- The user attempts to manipulate the marketplace.
- The user engages in unlawful activity.
- Continued access creates a security or operational risk.
Where appropriate, Bisagent may provide information about the reason for the action.
18. Platform Availability
We aim to keep Bisagent available and functioning properly, but we do not guarantee uninterrupted access.
The platform may temporarily become unavailable because of:
- Maintenance
- Updates
- Security incidents
- Technical problems
- Third-party service interruptions
- Events outside our reasonable control
19. AI Agents and Platform Information
Information displayed about agent tasks, companies, estimated completion times, replication, and Auto-Sell status is provided through the platform's tracking system.
Estimated completion times are estimates and may change.
Users should rely on the current status displayed on the platform.
20. User Responsibilities
You are responsible for:
- Providing accurate information.
- Keeping your account secure.
- Reviewing order details before confirming purchases.
- Making payments within the required time.
- Confirming payments accurately.
- Providing truthful dispute information.
- Keeping your bank information up to date.
- Following these Terms.
21. Intellectual Property
The Bisagent name, branding, website design, software, content, and platform features belong to Bisagent or its relevant licensors.
You may not copy, reproduce, modify, distribute, or commercially exploit Bisagent's intellectual property without permission.
22. Privacy
Your personal information is handled according to the Bisagent Privacy Policy.
By using Bisagent, you acknowledge that your information may be collected and processed as described in that Privacy Policy.
23. Limitation of Liability
To the extent permitted by applicable law, Bisagent will not be responsible for losses caused by circumstances outside its reasonable control, including third-party payment failures, internet failures, user mistakes, unauthorised account access caused by compromised user credentials, or other events beyond our reasonable control.
Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.
24. Changes to These Terms
Bisagent may update these Terms when necessary.
Updated Terms will be published on the platform with a new Last Updated date.
Your continued use of Bisagent after an update means you agree to the updated Terms, to the extent permitted by applicable law.
25. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, subject to applicable Nigerian law.
